XXXLutz Sold All Shares in BRW S.A.
On August 21, 2025, a significant change occurred in the ownership structure of Black Red White S.A., one of the largest Polish furniture companies: the Austrian XXXLutz Group sold all its shares in the company to Polish capital entities.
In 2022, the Austrians acquired 50% of the shares in the BRW Group. In March, it was announced that XXXLutz intended to take over the remaining 50%. The transaction was subject to approval by antitrust authorities.
The decision of XXXLutz to withdraw from the shareholder structure means that the company has chosen to change its strategy. As emphasized in the official statement, however, business cooperation between the two groups will continue. This applies in particular to joint purchasing and supply chain cooperation, enabling BRW to benefit from economies of scale and the international network of its Austrian partner.
Management Changes
The new ownership structure also led to changes in the management board and supervisory board. Joanna Sarkowicz was appointed Chairwoman of the Supervisory Board, while Dariusz Formela, a manager with extensive industry experience and previous ties to the company, returned as President of the Management Board of BRW S.A. The composition of the management boards of subsidiaries was also revised, with Polish market managers appointed as vice-presidents.
At the same time, a financing agreement for BRW S.A. was signed to ensure the company’s stability in the coming months. The new strategic goal is clear: to restore the entire group’s profitability before the end of 2025.
A Polish Industry Leader
Black Red White S.A., headquartered in Biłgoraj, is one of the largest Polish manufacturers of furniture and home furnishings. Founded in 1991, the company quickly became a leader in the domestic market. Today, BRW’s retail network includes several hundred furniture showrooms in Poland and abroad, and the brand is well recognized across Europe.
The company’s strength lies in its wide product portfolio – from case goods and upholstered furniture to decorative accessories. For years, BRW has been regarded as one of the ambassadors of Polish furniture exports, with its products sold in dozens of countries worldwide.
XXXLutz – a European Giant
The Austrian XXXLutz Group is one of the largest furniture retailers in the world, operating in more than 20 European countries. Its network includes several thousand stores under various brands, including XXXLutz, Möbelix, and Poco. The company has consistently strengthened its position on the European market by acquiring local retail chains and manufacturers.
The entry of XXXLutz into BRW’s shareholder structure was part of the group’s expansion strategy in Central and Eastern Europe. The Austrians’ withdrawal from ownership of the Polish company comes as a surprise to the industry and raises questions about the group’s future plans in the region.
